Retainers, SOWs and the amendments that follow them.

Professional-services work often starts with a retainer or SOW, then changes through amendments. The fictional sample is exactly this: Northline Studio's design retainer with Alder Works, followed by Amendment A1.

The day this changes

Before

The signed SOW says one monthly fee, the amendment says another, and the project folder does not show which value governs now.

A retainer renewal needs a decision before the notice date, but the reminder is based on the original SOW rather than the amended rule.

The team can create proposals elsewhere. The harder recurring job is preserving what was actually signed and changed.

After

SOW-S1 and Amendment A1 are linked to the same agreement record, with the governing source chosen for each current term.

The monthly fee changes from USD 6,000 to USD 6,500 only after Amendment A1 is reviewed and confirmed. The notice rule changes the same way.

The renewal action belongs to Maya, with the latest-notice date and reminder history tied to the confirmed current baseline.

Import and check the signed retainer.

Start with the signed SOW or retainer agreement. Extracted fee, scope, term and notice wording sit beside the source clause until someone confirms them.

Notice dates with the account owner.

A retainer's term end is not the latest-notice date. Confirm the calendar-day rule, name the owner and prepare internally before the client or vendor decision is due.

Rule R2: notice at least 90 calendar days before term end. Amendment A1 § 3

30 Sep 2027 − 90 calendar days = 2 Jul 2027. Calendar days, no weekend or holiday adjustment.

Confirmed on 18 Mar 2027 by Maya Okafor. Reminders for the superseded R1 rule were cancelled; already-sent reminders stay in history.

Using your selected rule, the latest-notice date is 2 Jul 2027. Confirm receipt/send requirements and any business-day rules. An internal reminder is not a notice to the counterparty.

The amended notice rule moves the latest-notice date to 2 Jul 2027.

Amendments and actions follow the SOW.

Amendment A1 changes the monthly fee and notice period. Agreedio reviews the diff, preserves the prior baseline and moves affected actions only after confirmation.

Honest fit.

For professional-services teams administering signed retainers, SOWs and amendments after signature. It does not create proposals, send signatures, invoice clients or replace CRM and project tools.

Not part of this product:

  • Proposal, SOW or template creation
  • Native e-signature or signature requests
  • Change-order generation before the Phase 3 module exists
  • Invoicing, accounting or payments

Objections

What you will say before you try it.

We already create proposals elsewhere.
Keep that workflow. Phase 1 starts after signature: import the signed agreement, check terms, connect amendments and manage renewal actions.
Product overview
Retainers change midstream.
That is why amendments are reviewed as diffs. The new fee or notice period governs only after confirmation, with the previous baseline kept in history.
Amendments and versions
Can it invoice the client?
No. Agreedio can record the agreed fee and source. It does not create invoices, collect payments or connect accounting ledgers.
